By accessing or using any of our Services, you confirm that:

• You are at least 18 years of age.
• You have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.
• You have read and understood our Privacy Policy.
• You agree to comply with all applicable Indian laws and regulations in your use of the Services.

3. Accounts & Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@devpilot.co.in if you suspect unauthorized access to your account.
• We reserve the right to suspend or terminate accounts that provide false information.

4. Beta Program Terms

• As-is basis: Beta Features are provided "as is" and "as available" without any warranty of any kind. They may contain bugs, errors, or incomplete functionality.
• No uptime guarantee: Beta Features may be modified, suspended, or discontinued at any time without notice.
• Data loss risk: While we take reasonable precautions, data stored in Beta Features may be lost or reset. You are responsible for maintaining your own backups.
• Feedback usage: Any feedback, bug reports, suggestions, or ideas you provide regarding Beta Features may be used by us without restriction or compensation. By providing feedback, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our products.
• Limited liability: Our total liability for any claims arising from Beta Features is limited to INR 0 (zero). We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of Beta Features.
• Confidentiality: Beta Features may be confidential. You agree not to disclose details of unreleased Beta Features to third parties without our written consent.

5. Acceptable Use Policy

You agree to use our Services only for lawful purposes. You must not:

• Use the Services for any illegal activity, including but not limited to fraud, money laundering, or tax evasion.
• Transmit any viruses, malware, or other harmful code through the Services.
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts.
• Use the Services to send unsolicited bulk communications (spam) through advertising features.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use automated scripts, bots, or scrapers to access the Services without our written permission.
• Create false invoices, misleading advertisements, or fraudulent business records using the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Resell, sublicense, or commercially exploit the Services without our written consent.

Violation of this Acceptable Use Policy may result in immediate account suspension or termination.

6. Your Data & Content

• Ownership: You retain full ownership of all Content you create, upload, or store through the Services. We do not claim ownership of your invoices, customer data, ad creatives, or business records.
• License to us: You grant us a limited, non-exclusive license to process, store, and display your Content solely for the purpose of providing the Services to you.
• Data portability: You may export your data at any time in standard formats (CSV, JSON, PDF) through the export features available in each product.
• Backup: While we implement regular backups, you are encouraged to maintain your own copies of important business data.
• Deletion: Upon account termination, your Content will be deleted in accordance with our Privacy Policy retention schedule.

7. Intellectual Property

• The Services, including all software, designs, logos, trademarks, documentation, and underlying technology, are the intellectual property of Sidewall Technologies.
• Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written permission.
• The Services may include open-source components. Such components are governed by their respective open-source licenses.
• You may not copy, modify, distribute, or create derivative works based on our proprietary software.

8. Payment & Billing

• Certain features of the Services may require payment. Pricing, billing frequency, and payment terms will be clearly communicated before any charge is applied.
• All payments are processed through authorized third-party payment processors (e.g., Razorpay). We do not store your full credit/debit card details.
• Prices are quoted in Indian Rupees (INR) and are inclusive of applicable GST unless otherwise stated.
• Failure to pay may result in suspension of paid features. Your data will be retained for a grace period of 30 days after suspension.
• Refund requests are handled on a case-by-case basis. Contact support@devpilot.co.in for refund inquiries.

9. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Services.
• The Services may be temporarily unavailable due to planned maintenance, updates, or unforeseen technical issues.
• We will make reasonable efforts to notify you of planned downtime in advance through in-app notifications or email.
• We are not liable for losses arising from service interruptions caused by factors beyond our reasonable control, including internet outages, natural disasters, or third-party service failures.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• The Services are provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
• Our total aggregate liability for all claims arising under these Terms shall not exceed the total amount paid by you to us in the 12 months preceding the claim, or INR 5,000, whichever is greater.
• We are not liable for any tax, legal, or financial consequences arising from invoices, reports, or documents generated through the Services. You are solely responsible for verifying the accuracy of your business records.

11. Indemnification

You agree to indemnify and hold harmless Sidewall Technologies, its founder, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Services.
• Your violation of these Terms or any applicable law.
• Your Content or business activities conducted through the Services.
• Any third-party claims related to your advertisements created through AdPilot.

12. Account Termination

12.1 Termination by You

• You may terminate your account at any time by contacting support@devpilot.co.in or using the account deletion feature in the app.
• Before terminating, you should export any data you wish to keep.

12.2 Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service or the Acceptable Use Policy.
• Your account has been inactive for more than 12 consecutive months.
• We are required to do so by law or a court order.
• Continuing your account would pose a security risk to us or other users.

12.3 Effect of Termination

• Upon termination, your right to use the Services ceases immediately.
• Your data will be retained for the period specified in our Privacy Policy, after which it will be permanently deleted.
• Sections that by their nature should survive termination (Intellectual Property, Limitation of Liability, Indemnification, Governing Law) shall survive.

13. Changes to These Terms

• We may modify these Terms from time to time. The "Last updated" date at the top will reflect the latest revision.
• For material changes, we will provide at least 15 days' notice via in-app notification or email before the changes take effect.
• Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
• If you do not agree with the updated Terms, you should stop using the Services and terminate your account.

14. Governing Law & Disputes

• Governing law: These Terms are governed by and construed in accordance with the laws of India.
• Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
• Dispute resolution: Before filing a legal claim, you agree to attempt to resolve the dispute informally by contacting us at support@devpilot.co.in. We will attempt to resolve the dispute within 30 days.
• Arbitration: If informal resolution fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in Bengaluru.
